Can a non-UK resident own a UK company? Rules and practicalities

By the Royale Corporate team · Published · Last reviewed · 2 min read

Yes. UK law lets people of any nationality and residence own and direct a UK private limited company. The company needs at least one director who is a person aged 16 or over, a registered office address in the UK, a registered email address, and its directors and people with significant control must verify their identity with Companies House.

Key points

  • No UK residence or nationality requirement for directors or shareholders.
  • The registered office must be a UK “appropriate address”, not a PO box.
  • Directors and PSCs must verify their identity with Companies House.
  • A UK-incorporated company is generally UK tax resident; get advice on your home country’s rules too.
  • Banking is usually the hardest part; plan it early.

Tax residence

A company incorporated in the UK is treated as UK tax resident, so it pays UK Corporation Tax on its worldwide profits. Your home country may also see the company as resident there if it is managed from there, and you personally may owe tax on salary or dividends where you live. A short consultation with an accountant who knows both countries is money well spent.

Running the company from abroad

  • Use a registered office service to receive official post and have it scanned to you.
  • File accounts, confirmation statements and VAT returns online; nothing requires a UK visit.
  • Appoint a UK accountant to handle Corporation Tax returns and payroll if needed.
  • Plan banking early: see UK business accounts for non-residents.

Immigration is a separate question

Owning a UK company does not give you the right to live or work in the UK. If you plan to work in the UK yourself you need the right visa.
